Terms of Service

1. About these terms

These Terms of Service (“Terms”) are an agreement between you and Startip L.L.C., a limited liability company organized under the laws of the State of Delaware, United States (“Startip”, “we”, “us”). They apply to our website startip.net, our client portal, our agency services, and the software platforms we operate, including Nexus (customer communication, CRM and social publishing) and Roviqs (car-rental SaaS). If you use them on behalf of a company, you accept these Terms for that company.

Where a signed proposal, statement of work or order form exists between you and Startip, it forms part of the agreement and prevails over these Terms if they conflict.

2. Our services

We provide web design and development, digital marketing, branding, hosting and domains, and access to our software platforms. The scope, deliverables and timeline of each engagement are defined in the applicable proposal or order. We may improve or change platform features over time without materially reducing the service you paid for.

3. Accounts

• You must provide accurate information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account and your users’ accounts.
• You must be at least 18 years old and authorized to act for your business.
• Tell us promptly at info@startip.net if you suspect unauthorized access.

4. Acceptable use

You agree not to use our services or platforms to:

• Send spam, unsolicited bulk messages, or messages to people who have not opted in to receive them;
• Violate the terms and policies of any connected platform, including the WhatsApp Business policies (Business Policy and Commerce Policy), the Meta Platform Terms and Community Standards, and the LinkedIn User Agreement and API terms;
• Send or publish content that is unlawful, misleading, infringing, hateful, harassing or harmful;
• Collect or use personal data without a lawful basis, or break applicable privacy, consumer-protection or marketing laws;
• Attempt to break, probe, overload or reverse-engineer the platforms, or access data that is not yours.

We may suspend accounts or content that breach this section, or where a platform provider requires it.

5. Your content

You keep ownership of all content and data you or your customers provide — texts, images, logos, messages, contact lists and records (“Client Content”). You grant Startip a limited licence to host, process, transmit and display Client Content only as needed to provide the services to you. You confirm you have the rights and permissions needed for the Client Content you give us and for the accounts you connect.

Unless a proposal states otherwise, once paid in full you own the final deliverables created specifically for you (for example, your website design and brand files), excluding the third-party and Startip components described below.

6. Our intellectual property

The Startip name and logo, our website, the Nexus and Roviqs platforms, their software, designs and documentation, and our reusable tools, templates and know-how belong to Startip L.L.C. or its licensors. Using our services does not transfer these rights to you, other than the right to use the platforms during your subscription. Third-party components (fonts, stock images, plugins, open-source software) remain subject to their own licences.

7. Fees and invoicing

Fees, payment schedules and currencies are set out in your signed proposal, order form or the plan you select in our client portal. Invoices are due on the terms stated on them. Subscription and hosting plans renew for the stated period unless cancelled before renewal. We may pause work or suspend services for overdue invoices after notice. Fees exclude taxes unless stated otherwise.

8. Confidentiality

Each party will keep the other’s non-public business information confidential, use it only to perform the agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law. Personal data is handled as described in our Privacy Policy.

9. Third-party platforms

Our services connect to platforms we do not control (such as Meta, WhatsApp, Instagram, LinkedIn, Google, domain registries and payment processors). Their availability, policies, approvals and fees are set by those providers, and changes on their side may affect the services. We are not responsible for their acts or omissions.

10. Warranties and limitation of liability

We perform our services with reasonable skill and care. Otherwise, to the maximum extent permitted by law, the website, services and platforms are provided “as is” and “as available”, without warranties of any kind, express or implied, and we do not guarantee uninterrupted operation or specific business results (such as rankings, reach or sales).

To the maximum extent permitted by law, Startip L.L.C. is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data; and our total liability arising from any engagement is limited to the fees you paid to Startip for that engagement in the 12 months before the claim.

11. Termination

You may stop using the services at any time, subject to the notice and payment terms in your proposal or plan. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law or by a platform provider. On termination you remain responsible for fees already due; on request we will provide an export of your Client Content for a reasonable period before deleting it, as described in our Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States. The parties will first try to resolve any dispute through good-faith negotiation before starting any formal proceedings.

13. Changes

We may update these Terms. The “Last updated” date shows the current version; continued use after a change means you accept the updated Terms. Material changes will be communicated to active clients.
